PROFILE OF THE BOARD OF DIRECTORS
At Fidelity Pension Managers Limited, the role of the Board of Directors is to oversee the management and governance of the Company, ensuring its prosperity by collectively directing its affairs to enable it meet the interests and expectations of all stakeholders. The Board has a mandate to establish policies for corporate management and make decisions on major Company issues.
The composition of the Board reflects the general requirements of Nigerian company, pension and business laws, including specific regulatory requirements for pension administrators, applicable corporate governance recommendations as well as internal standards. The Directors are therefore competent and experienced professionals in finance, investment, banking, marketing, audit, risk, management, funding and capital structure, information technology, stockbroking, media and communications, the academics and board relations. In addition, all the Directors of the Company are members of the Institute of Directors. Thus, the Directors’ diversity of experience, competencies and capabilities, strong personalities, integrity and reputation come to play in ensuring that the Board fulfils its objectives of constructive debate and effective decision making leading to the Company’s stability, growth and expansion.
JOHNSON EGU CHUKWU – CHAIRMAN
Johnson Egu Chukwu is a Fellow of both the Chartered Institute of Accountants of Nigeria and Chartered Institute of Taxation of Nigeria. He holds a Bachelor’s degree in Accounting from the University of Lagos and a Masters in Business Administration from the Lagos Business School, Pan African University, Lagos.
Mr. Chukwu is the initiator/founder of Cowry Asset Management Limited. Prior to the establishment of Cowry Asset Management Limited, he had been actively involved in the Nigerian capital market and was instrumental to the establishment of one of the most vibrant capital market operators, Guardian Express Trust Limited (later Spring Capital, now Pan Africa Capital) – a subsidiary of Guardian Express Bank Plc, later Spring Bank Plc/Enterprise Bank Limited as the pioneer General Manager/Chief Executive Officer.
Mr. Chukwu is actively involved in capacity building and development by training financial industry professionals as a facilitator with the Institute of Chartered Accountants of Nigeria (ICAN), the Financial Institutions Training Centre (FITC) as well as international training platforms. He is a media commentator on topical issues ranging from the capital market to banking and general economic matters and is known for critically assessing major financial issues and proffering practical solutions to same.
Aside from his position as the Chief Executive of Cowry Asset Management, Mr. Chukwu is also the Chairman of Standard Alliance Insurance Plc, a high-profile insurance company quoted on the Nigerian Stock Exchange.
Mr. Chukwu was appointed to the Board of the Company in August 2017.
MANAGING DIRECTOR & CHIEF EXECUTIVE OFFICER
Mrs. Andy-Azike holds a B.Sc. degree in Sociology/Anthropology from the University of Nigeria, Nsukka and an MBA degree from the Lagos State University. She has over 27 years work experience in financial Services Sector, working with establishments like Modern Finance, First African Trust Bank, Magnum Trust Bank, Commercial Bank Credit Lyonnais and Fidelity Bank Plc.
She joined Fidelity Pension Managers Limited in 2007. Her work experience cuts across Treasury, Credit Administration, Corporate Banking, Commercial Banking, Retail Banking, Pension Administration and Management.
She is a member of various professional Bodies and Associations. She is a Fellow of the Chartered Institute of Bankers of Nigeria (FCIB), and a Fellow of the Association of Investment Advisers and Portfolio Managers (FIAPM). She is also a member of the Institute of Directors.
She is an alumna of the Harvard Business School, Boston Massachusetts, U.S.A, the Wharton Business School of Pennsylvania, U.S.A, the INSEAD Business School, France and the Lagos Business School.
Mrs. Andy-Azike is the Company’s Managing Director & Chief Executive Officer.
Professor Ike S. Ndolo holds a B. A. in Radio-Television from the University of Houston, Texas; Masters in Broadcast Management from Texas Southern University, Houston, Texas; and a Ph.D. in Mass Communication from Howard University, Washington, D. C., all in the USA.
He has over 40 years’ work experience in broadcasting, consulting and the academia. He launched his working career in 1976 as a Host/Production Assistant in Alabama Agricultural and Mechanical University, Huntsville, Alabama, USA. From there, he joined KUHF-FM Radio, Houston, Texas as Producer/Host and worked in other Radio and Television Stations where he attained the position of News Writer and Coordinator of Programmes (Weekends) at WJLA-TV, Washington, D. C. Presently, he is a Professor, Department of Mass Communication, Enugu State University of Science and Technology (ESUT).
He is a member of professional organizations like International Communication Association (ICA), African Council on Communication Education (ACCE), Association for the Development of Policy, Research and Development in the Third World, National Institute of Public Relations (NIPR), Advertising Practitioners Council of Nigeria (APCON) and African Studies Association (ASA).
His creative output includes books, journals and articles, technical productions and conference/seminar/workshop papers.
NON EXECUTIVE DIRECTOR
Mr. Osime is an authorized dealing clerk of the Nigerian Stock Exchange and a Fellow of the Chartered Institute of Stockbrokers. He attended the University of Lagos and University of Strathclyde, Glasgow, in the United Kingdom obtaining a Bachelor of Science in Actuarial Science and MBA respectively.
Akemere Michael Osime is the Chairman of ICMG Securities Limited a financial services corporation which he founded. He worked for four years at Chase Merchant Bank (later Continental Merchant Bank) and was seconded to Nigerian International Securities Limited (NISL) where he trained and qualified as a Stockbroker in 1985. He moved to Nigeria International Bank (NIB) from Chase Merchant Bank early in 1985 to join its Corporate Finance team. He later headed its Financial Institutions Units and left in 1988 to set up ICMG Securities Limited.
Mr. Osime sits on the board of several companies including Broadband Technologies Limited (Chairman), Easypay Africa Limited (Chiarman), Notore Chemical Industries Limited (Director) and Millennium Oil and Gas Limited (Vice-Chairman). Mr. Osime has also functioned as a Council Member of the Nigerian Stock Exchange.
NON EXECUTIVE DIRECTOR
Mr. Chris Okenwa started his banking career with Continental Merchant Bank Plc and moved from there to Capital Bancorp Limited, a foremost investment banking firm. While in Capital Bancorp, he was involved in the privatization of African Petroleum Plc.
Prior to his joining FSL Securities Limited, he worked at Magnum Trust Bank Plc, where he was the Head of the Bank’s Investment Banking department. Mr. Okenwa is a dealing clerk of the Nigerian Stock Exchange and an Associate member of the Chartered Institute of Bankers. At various times, he has functioned as Director of Administration for the Association of Issuing Houses of Nigeria as well as Director of Finance.
Mr. Okenwa also holds a Masters degree in Business Administration from the Edo State University, Ekpoma. He has over 20 years’ experience in investment banking and is currently the Managing Director and Chief Executive Officer of FSL Securities Limited.
NON EXECUTIVE DIRECTOR
Mr. Osueke, Justus Chinasa is an associate member of the Chartered Institute of Accountants of Nigeria, a Fellow of the Association of Chartered Certified Accountants and a member of the Information Systems Security Audit and Control Association.
He holds two bachelors’ degrees in Biochemistry and Applied Accounting from the Abia State University and Oxford Brookes University, London, United Kingdom, respectively. He has worked in various organizations and presently works with Financial Advisory and Investment Consultants Limited as Senior Financial Analyst.
Mr. Osueke is a member of the Institute of Directors.
